Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Spike Console website, console applications, and API (together, the "Services"), operated by Cyber Ultimax Ltd ("Cyber Ultimax", "we", "our", "us"), a company registered in Nigeria. By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a business, you confirm that you have authority to bind that business, and "you" refers to that business as well as you personally.
What Spike Console is
Spike Console is a business operations platform. Depending on which modules you activate, it lets you run CRM, People & HR (including payroll and leave), Finance (invoicing, bills, and ledgers), Commerce (catalog, pricing, and orders), Projects, and AI-assisted strategy tools ("Advisor") from a single console, organised around one or more businesses ("workspaces") that you or your team create.
The Services also include a Partner Program that connects businesses with independent partners who fulfil paid service requests (such as compliance or advisory work), and a developer platform that issues API keys for programmatic access. Not every feature is available on every plan.
Accounts and eligibility
- You must be at least 18 years old and able to form a binding contract to create an account.
- One account can belong to, or be invited into, more than one workspace. Each team member's access within a workspace is governed by the role assigned to them (for example Owner, Manager, or Staff).
- You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials, including any password, magic link, or multi-factor authentication method tied to your account.
- You must notify us promptly at hello@spikeconsole.com if you suspect unauthorised access to your account.
Subscriptions and payments
- Paid plans and add-on modules are billed on a recurring basis at the prices shown in the console or on our pricing page. Prices may change with at least 30 days' notice to active subscribers.
- Payments are processed by third-party payment processors, including Paystack, Flutterwave, and Stripe. We do not store your full card details ourselves; processing is subject to each processor's own terms.
- Subscriptions renew automatically until cancelled. You may cancel at any time from your account settings or by contacting us; cancellation takes effect at the end of the current billing period.
- Refunds are considered on a case-by-case basis. Contact us if you believe you have been charged in error.
AI-assisted features
Advisor and other AI-assisted features (for example SWOT analysis, business insights, and generated summaries) use a third-party AI provider to analyse the business data you provide and generate suggestions. These outputs are provided for guidance only, may be inaccurate or incomplete, and do not constitute legal, financial, tax, or professional advice. You are responsible for reviewing and verifying any AI-generated content before relying on or acting on it. See our Subprocessors & Data Processing page for details on how this works.
Partner Program and service requests
Partners who join the Partner Program are independent businesses or professionals, not employees, agents, or representatives of Cyber Ultimax Ltd. When you submit a service request, you are entering into a direct arrangement with the partner who fulfils it; we facilitate the connection, payment routing, and payout, but we are not a party to that underlying arrangement and are not responsible for the quality, accuracy, or outcome of services a partner delivers. Disputes between a business and a partner should first be raised with the partner directly, and with us if you need help escalating.
API and developer access
If you generate an API key, you are responsible for keeping it confidential and for all activity performed with it. We may apply rate limits or quotas to API access and may suspend a key that is being abused. API use is subject to our Acceptable Use Policy; you may not resell or sublicense API access without our written consent.
Acceptable use
You agree to use the Services only for lawful purposes and in line with our Acceptable Use Policy, which covers matters such as unauthorised access attempts, scraping, reverse engineering, and misuse of AI or API features. We may suspend or terminate access for a violation, with notice where reasonably possible.
Intellectual property
All content, features, and functionality of the Spike Console platform, including text, graphics, logos, software, and design, are owned by Cyber Ultimax Ltd or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Services during your active subscription, for your own business purposes.
Your data
You retain ownership of the data you or your team enter into the Services, including CRM, HR, financial, and commerce records. For that data, we act on your instructions as described in our Subprocessors & Data Processing page. We process account and billing information in accordance with our Privacy Policy. Upon termination, you may request an export of your workspace data within 30 days.
Service availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime, data loss, or service interruptions arising from causes beyond our reasonable control.
Limitation of liability
To the maximum extent permitted by law, Cyber Ultimax Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services, including reliance on AI-generated content or services delivered by a Partner Program partner. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.
Termination
Either party may end the service relationship at any time. You may cancel your subscription through your account or by contacting us. We may suspend or terminate your access if you breach these Terms or our Acceptable Use Policy, with notice where reasonably possible. Sections regarding intellectual property, limitation of liability, and governing law survive termination.
Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of the Services shall first be addressed through good-faith negotiation, and failing resolution, submitted to the exclusive jurisdiction of the courts of Nigeria.
